whereas，鑑於，在合同中的鑑於條款只是一個引語，表示考慮到或者情況既然如此，它並不是合同的實質內容，所以如果要翻譯，並不一定要有什麼固定翻譯，而是要結合前後文的意思，怎麼順怎麼翻嘍。下面兩個也一樣。
